Article 1 – Name Section 1. This organization shall be known as the Mid American Equine Breeders Association, also known as MAEBA. Article 2 – Mission Statement Section 1. To Build the Midwest Horse Industry Through Marketing, Education, and Competition. Article 3 – Membership Section 1. The membership of this organization shall be open to all persons in any state. Membership shall be open to all persons who subscribe to the aims of MAEBA, abide by its bylaws and rules and regulations, and assist in furthering MAEBA purposes and objectives. Section 2. Application for membership shall be made to the Treasurer and must be accompanied by membership fee. Section 3. Out of state breeders may join as regular members and shall have voting privileges and hold office in this association if elected. They must be able to be an active association officer if elected. Section 4. The membership fee shall be $10.00 for single and $20.00 for family. All membership fees are for one year, January 1st to December 31st. Memberships are non-transferable. Section 5. Charges of misconduct of a member shall be made in writing to the Secretary. They shall be considered with defense of the member by the Executive Committee, who may, by a two-thirds (2/3) vote, suspend or expel the member. Section 6. All members in good standing shall have equal rights, interest, and responsibilities with respect to MAEBA and it’s property; shall have the right to vote in person at all membership meetings, and to hold office and committee assignments, except as otherwise limited herein. Any MAEBA member elected to office will pay current dues before taking office. Whenever in the bylaws the term member or members shall be used, unless otherwise specified, it shall mean a members or members having the right to vote. Each adult membership entitles the member or members to one vote, but no more than two votes per household shall be allowed even if a household has more than one membership (e.g., partnerships, corporations, etc.). Minor children (18 and under) of a household are non-voting members.
Article 4 – Officers Section 1. The officers of this organization shall consist of the President, Secretary, Treasurer, Vice-President, and five (5) Directors. The business and property of MAEBA shall be managed and controlled by the Executive Committee hereinafter created and empowered. Section 2. The officers shall be elected from and by the membership at the annual meeting. Any member to be eligible for any office must be a member of good standing in the Mid American Equine Breeders Association. Section 3. All officers in MAEBA shall be elected for the following for a term of 1 year: President, Vice-President, Secretary, and Treasurer. The Board of Directors will be a term of 2 years. Section 4. Vacancies in office shall be filled by appointment of the President, subject to approval by a two-thirds majority vote of the Executive Committee. If any officer or director fails to properly discharge his/her duties, he/she may be removed from office by a two-thirds (2/3rds) vote of the Executive Committee. Section 5. The Executive Committee shall consist of the President, Vice-President, Secretary, Treasurer, and five Directors. All terms shall begin following the annual meeting. All elected officers must have dues paid for year of term, prior to taking office. Section 6. The Executive Committee meetings shall be held whenever called by direction of the President, or by one-half (1/2) of the Executive Committee, on a reasonable notification to all directors and officers of the time, place, and topics to be discussed at said meeting. Business may be transacted only if at least (2/3) of the Executive Committee is present at any such meeting. Section 7. The written contracts of MAEBA shall be executed on behalf of MAEBA by any member of the Executive Committee providing the approval has been given by the Executive Committee. The Executive Committee may create and empower other committees, general or special. Article 5 – Authority Section 1. The interpretation of the written Constitution is to be done by the Executive Committee and other exceptions are to be determined by the Robert’s Rules of Order. Only board members may vote on items of business at board meetings. All members are encouraged to attend all board meetings. Article 6 – Amendments Section 1. This Constitution, having been approved, can only be replaced or amended by a quorum (51%) vote of the members voting at an annual meeting. By-Laws Article 1 – Order Of Business Section 1. The order of business shall be: Roll Call Reading and approval of minutes of previous meeting. Report of Executive Committee. Report of Secretary Report of Treasurer Report of Committees Reading of Communications Unfinished Business New Business Discussion, good of industry Adjournment. Section 2. Article 1, Section 1, of these bylaws may be amended or suspended at the Annual Meeting by a majority vote of the members present. Article 2 – Annual Meeting Section 1. The Annual Meeting of this Association shall be held on the first weekend of October. Said annual membership meeting shall be for the purpose of electing and installing officers and directors, and for the transaction of such other business as may be brought before the meeting. Notice of the annual meeting shall be given by posting on the website a notice, stating the time and place of such meeting, not less than thirty (30) days prior to the date of such meeting. If special topics are to be discussed and/or voted upon, members shall be notified of any such topics. Section 2. At all meetings of the Association five members, at least three being officers, shall constitute a quorum. Section 3. Any Officer of MAEBA may call the membership meeting to order and may act as chairman of such meeting, precedence given in the following order: President, Vice-President, Secretary, Treasurer. In the absence of all such officers, members present may elect a chairman of the meeting. The Secretary shall act as Secretary of all membership meetings. In the absence of the Secretary, the Executive Committee may appoint any person from the Executive Committee to act as Secretary of that meeting. This person cannot use the Secretary’s voting privilege. Article 3 – Elections Section 1. The Secretary shall issue a call for nominations for officers and directors from a current membership. Nominations are to be on or before the close of the Annual Meeting. All officers and directors shall be elected by written ballot. These ballots shall be kept by the Secretary for one (1) year. Section 2. The member receiving the largest number of ballots shall be declared elected to that office. Each Officer and Director shall be voted upon individually by written ballot, and the election completed for each office before nominations be accepted for the next office. Each Officer and Director must be elected and reelected individually. Article 4 – Duties of Officers/Executive Committee Section 1. The President shall be the chief officer of MAEBA and shall preside at all meetings of the Association, act as Chairman of the Executive Committee, appoint all committees not otherwise provided for, call Special Meetings of the Association or Executive Committee, fill all vacancies in office and perform such duties as pertain to the office. He/She shall see that the bylaws and rules and regulations of MAEBA are enforced. The President shall be allowed to vote in the Executive Committee meetings only to break a tie. Section 2. The Vice-President shall perform the duties of the President in his or her absence or in case of his or her inability to act. The Vice-President will serve on all committees. The Vice-President shall vote as any other Board member. In the event the Vice-President is serving as the President, The Vice-President shall retain his voting privileges. Section 3. The Secretary shall, as Secretary, conduct the general correspondence of the club, send out all notices of meetings, keep and file all letters received together with a copy of all letters sent out, shall act as Secretary of the Executive Committee and shall keep the minutes of all meetings. This person shall make a report of this office to the Executive Committee when requested and to the membership in annual meetings. The Secretary shall have one (1) vote in the Executive Committee meetings.
Section 4. The Treasurer shall, as Treasurer, collect all moneys due the Association such claims as are authorized and approved, shall furnish bond covering the maximum assets of the Association when requested to do so by the Executive Committee. The cost of the bond shall be paid by mail, at the last known address. This person shall make a report of this office to the Executive Committee when requested and to the membership at annual meetings. An annual financial report is to be distributed to all MAEBA members. This person shall disperse the monies of the MAEBA upon order of the Executive Committee. The Treasurer shall have one (1) vote in the Executive Committee meetings. Section 5. The Executive Committee shall carry out the instructions of the Association, shall authorize expenditures, shall make rules as shall be necessary to conduct the affairs of this Association and handle any other matters for the organization between regular meetings. Any Executive Committee members shall perform other duties as may be prescribed by the Executive Committee from time-to-time. Article 5 – Amendments Section 1. These bylaws may be amended at the Annual Meeting of the organization by a quorum vote of the members voting. Any member may submit amendments by doing so in writing to the Secretary at least sixty days prior to the Annual Meeting. All members will be notified of the proposed agenda as published on the website. Article 6- Defining Rules and Regulations Section 1. The Executive Committee shall have the power and authority to amend, repeal, and enforce such rules and regulations not contrary to the bylaws as it may deem necessary concerning MAEBA conduct, management, and activities; membership criteria and requirements; removal of officers; collection of dues and fees; auditing requirements: the conduct of shows, contests, exhibitions, races, sales, championships, social functions and all other details relating to the general purposes of MAEBA. However, any such rules and regulations established shall be reviewed annually by the Executive Committee, subject to revision or amendment by the general membership at Annual Membership meeting. |
